ATLAS SURGICAL PARTNERS – TERMS OF USE Effective Date: 1/1/2026 1. ACCEPTANCE OF TERMS These Terms of Use (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Atlas Integrated Solutions LLC, a New Mexico limited liability company doing business as Atlas Surgical Partners (“Atlas,” “we,” “us,” or “our”), governing your access to and use of any website, application, platform, or related services (collectively, the “Platform”). By accessing, registering for, or using the Platform in any manner, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform. 2. PLATFORM NATURE AND DISCLAIMER OF SERVICES Atlas operates solely as a technology-enabled coordination platform that facilitates introductions, scheduling, communication, and administrative support between independent healthcare facilities and independent healthcare professionals. Atlas is not a healthcare provider, does not render medical advice or services, and does not engage in the practice of medicine, nursing, or any other licensed healthcare profession. Atlas does not employ, supervise, control, direct, or evaluate any contractor, and does not control or dictate the manner, means, timing, legality, or quality of any services provided by any user. All services are performed solely by independent parties who retain full responsibility for their actions, omissions, and compliance with applicable laws. Without limiting the foregoing, Atlas expressly disclaims any and all liability arising out of or related to clinical services, including but not limited to patient care decisions, treatment outcomes, safety incidents, professional negligence, malpractice claims, or regulatory violations. Users acknowledge that any reliance on the Platform or any user of the Platform is at their own risk. 3. USER CLASSIFICATIONS AND RELATIONSHIPS Users of the Platform may include healthcare facilities (“Facilities”) and independent contractors (“Contractors”). Atlas is not a party to any agreement, engagement, or transaction between Users, and disclaims all liability arising from or related to such relationships. Nothing in these Terms shall be deemed to create any employment, partnership, joint venture, agency, or fiduciary relationship between Atlas and any User, or between Users themselves. Each User operates independently and assumes full responsibility for their own actions and obligations. 4. ACCOUNT REGISTRATION AND SECURITY To access certain features of the Platform, Users may be required to create an account and provide certain information, including but not limited to personal, professional, and financial information. Users agree to provide accurate, current, and complete information and to update such information as necessary. Users are solely responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account. Atlas reserves the right, in its sole discretion and without notice, to suspend, restrict, or terminate any account for any reason, including but not limited to suspected fraud, misrepresentation, regulatory concerns, or violation of these Terms. 5. CREDENTIALING, BACKGROUND CHECKS, AND VERIFICATION Atlas may, but is under no obligation to, perform credentialing, verification, or background checks on Users, either directly or through third-party providers. Such verification may include, without limitation, licensure verification, education verification, criminal background checks, sanctions screening, and work history verification. By using the Platform, Users expressly authorize Atlas to conduct such verification and to share the results with relevant parties as permitted by law. Users acknowledge that Atlas does not guarantee the accuracy, completeness, or reliability of such verification and disclaims all liability arising from reliance on such information. Atlas reserves the right to deny, suspend, or terminate access based on the results of any verification or for any reason deemed appropriate in its sole discretion. 6. INDEPENDENT CONTRACTOR STATUS All Contractors using the Platform are independent contractors and are not employees, agents, or representatives of Atlas. Contractors retain full control over whether to accept assignments, the manner in which services are performed, and their professional judgment. Atlas does not control work schedules, compensation, or performance standards, and does not provide training, supervision, or equipment. Contractors are solely responsible for maintaining all required licenses, certifications, and insurance coverage, and for complying with all applicable laws and regulations. 7. REQUESTS, BOOKINGS, AND ASSIGNMENTS Facilities may submit requests for services, and Contractors may accept such requests at their discretion. Each accepted request constitutes a separate agreement between the Facility and Contractor, and Atlas is not a party to such agreements. Atlas does not guarantee that any request will be fulfilled, that any Contractor will accept an assignment, or that any assignment will be completed. Users assume all risks associated with scheduling, fulfillment, and performance. 8. TIMEKEEPING, RECORDS, AND DISPUTE RESOLUTION BETWEEN USERS The Platform may include features for tracking time, assignments, or services performed. Users agree that Atlas may rely on such records in resolving disputes; however, Atlas does not guarantee their accuracy and is not responsible for discrepancies. Users agree to resolve disputes directly with one another. Atlas has no obligation to mediate, arbitrate, or otherwise resolve disputes between Users. 9. CANCELLATIONS, NO-SHOWS, AND MINIMUM BILLING Assignments may be subject to cancellation policies, minimum billing requirements, and no-show penalties as determined by Users or separate agreements. Atlas is not responsible for enforcing such policies and shall not be liable for any losses resulting from cancellations, delays, or failure to perform services. 10. PAYMENT TERMS AND DISCLAIMERS Atlas may facilitate payments through third-party providers but does not guarantee payment and is not responsible for ensuring that any User fulfills their financial obligations. Facilities are solely responsible for compensating Contractors, and Contractors assume full risk of non-payment. Without limiting the foregoing, Atlas expressly disclaims any and all liability arising from delayed payments, disputed payments, chargebacks, or failure of any Facility to remit payment. 11. NON-CIRCUMVENTION AND LIQUIDATED DAMAGES Users agree not to bypass, circumvent, or otherwise avoid the Platform in order to engage directly with other Users introduced through the Platform. This restriction applies during the term of use and for twelve (12) months thereafter. In the event of a breach, Users agree that Atlas shall be entitled to liquidated damages equal to two (2) times the estimated annual value of the engagement or twenty-five thousand dollars ($25,000), whichever is greater. Users agree that such damages are reasonable and necessary to protect legitimate business interests. 12. CONFIDENTIALITY AND DATA PROTECTION Users agree to maintain the confidentiality of all non-public information obtained through the Platform, including but not limited to pricing, relationships, user identities, and operational data. Users shall not disclose such information without prior written consent. 13. COMPLIANCE WITH LAWS Users agree to comply with all applicable laws, including but not limited to HIPAA, OSHA, and applicable healthcare regulations. Atlas does not act as a Business Associate unless expressly agreed in writing. 14. LIMITATION OF LIABILITY To the fullest extent permitted by law, Atlas shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of the Platform, including but not limited to clinical services, payment disputes, or user conduct. 15. INDEMNIFICATION Users agree to indemnify, defend, and hold harmless Atlas from and against any and all claims, liabilities, damages, losses, and expenses arising out of or related to their use of the Platform, including but not limited to clinical services, misclassification claims, tax liabilities, regulatory violations, and third-party claims. 16. DISPUTE RESOLUTION AND ARBITRATION Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration on an individual basis. Users waive any right to participate in class actions or collective proceedings. These Terms shall be governed by the laws of the State of New Mexico, and arbitration shall be conducted in accordance with the Federal Arbitration Act. All proceedings shall be confidential. 17. TERMINATION Atlas reserves the right to suspend or terminate access to the Platform at any time, for any reason, without notice or liability. 18. GENERAL PROVISIONS These Terms constitute the entire agreement between the parties and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
